User Consent to Payment Processing and Attorney Handoff

1. Uppercase's role.

Uppercase is not a law firm and is not providing me with legal advice. Any search tools, reports, summaries, explanations, or recommendations provided by Uppercase are nonlegal, informational, and preparatory only.

2. Independent attorney relationship.

If I choose attorney review or legal filing services, those services will be provided only by an independent licensed attorney or law firm, not by Uppercase. Any attorney-client relationship will be formed directly between me and that attorney or law firm, subject to that attorney's acceptance of the engagement.

3. Payment arrangement.

I authorize Uppercase to collect payment from me for the attorney services I select and to remit those funds to the independent attorney or law firm on my behalf. I understand that this is a payment-processing arrangement for convenience and does not make Uppercase my lawyer or law firm.

4. Lawyer's independent judgment.

I understand and agree that Uppercase may not direct or regulate the attorney's professional judgment. Once the attorney undertakes representation, the attorney's independent legal judgment will control all legal advice, recommendations, and decisions in my matter.

5. Prior Uppercase input.

I understand that any prior Uppercase report, suggestion, or assessment is only background information. The attorney may rely on it, reject it, revise it, or supplement it in the exercise of independent professional judgment.

6. Essential terms disclosed.

I understand the essential terms of this arrangement: Uppercase provides nonlegal services; Uppercase may collect and transmit payment for attorney services on my behalf; the attorney is independent from Uppercase; and once representation begins, the attorney's professional judgment governs.

7. Opportunity for independent counsel.

I am advised in writing of the desirability of seeking independent legal counsel regarding this arrangement, and I have been given a reasonable opportunity to do so before signing this consent.

8. Informed consent.

I have read this agreement, understand it, have had the opportunity to ask questions, and knowingly and voluntarily consent to the arrangement described above.

9. Electronic signature and records.

I agree that my electronic signature is legally valid and may be used for this consent. I also agree that Uppercase may retain a copy of the signed consent and related audit records showing the version presented to me, the date and time of signing, and identifying information associated with my signature.
