By using this Site, you represent that you are an adult of 18 or more years of age, have the legal capacity to enter a contract, and agree to comply with and be bound by the following terms and conditions of use. Please review these terms and conditions carefully. The information, search results, knockout review summaries, and educational content made available through the Site are provided for general informational purposes only and are not legal advice. If you seek trademark search, knockout review, or trademark application assistance through the Site, you understand that you will be asked to complete an online interview and provide information and materials for review, and that no legal advice will be provided and no trademark application will be filed on your behalf unless and until your matter is reviewed and accepted by a participating law firm or licensed attorney, as applicable. If you do not agree to these terms and conditions, you are not authorized to use this Site.
Agreement. These Terms of Use (the "Agreement") govern your access to and use of the Site. This Agreement may be modified at any time by Uppercase, Inc. by posting the modified Agreement to the Site. Any such modifications shall be effective immediately upon posting unless some other effective date is expressly stated. You can view the most recent version of this Agreement at any time at https://uppercaselaw.com. Your use of this Site shall constitute and be deemed your unconditional acceptance of this Agreement.
Privacy. Your use of the Site is also governed by our Privacy Policy, which is hereby incorporated into this Agreement. Please review our Privacy Policy at https://uppercaselaw.com. Uppercase, Inc. reserves the right, and you authorize us, to use and assign all information provided by or collected from you in any manner consistent with our Privacy Policy.
Site Content. The Site is provided on an "as is" basis and may use internet services, third-party data sources, and artificial intelligence-enabled tools that are not under our direct control. The Site may include general educational information regarding trademarks, search processes, knockout reviews, application processes, and related topics, as well as content generated or assisted by automated systems based on information you provide. While we strive to provide accurate descriptions of our products and services, we do not warrant that the descriptions, educational materials, search results, knockout review outputs, interview outputs, pricing, or other content on the Site are accurate, complete, reliable, suitable for your circumstances, or current. You remain solely responsible for reviewing the information you provide through the Site and confirming that it is accurate, complete, and up to date. We reserve the right to correct errors and to cancel any orders that were placed using incorrect descriptions or pricing. Any copying, redistribution, use or publication by you of any such content or any part of the Site is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Site.
Site Use. Uppercase, Inc. grants you a limited, revocable, nonexclusive license to use this Site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. If you use the Site to request trademark search services, knockout review support, or trademark application assistance, you agree to complete the Site's interview process truthfully, accurately, and completely, to provide any additional information reasonably requested, and to review all information and materials generated from your responses before they are submitted for attorney review or filing. You agree not to copy content from the Site, reverse engineer or hack into the Site, use automated means to access the Site except as expressly permitted by us, or use materials, products or services in violation of any law. Your use of this Site is at the discretion of Uppercase, Inc. which may terminate your access and use at any time.
Trademark Search, Knockout Review, and Application Assistance. The Site may allow you to request AI-assisted trademark search services, knockout review support services, and trademark application support services. In connection with those services, you may be asked to complete an online questionnaire or interview and to upload or otherwise provide information, documents, specimens, descriptions of goods or services, proposed marks, jurisdictions, and other materials. You understand and agree that (a) any educational content, automated prompts, search results, knockout review summaries, and draft materials generated through the Site are informational tools only and are not legal advice, (b) Uppercase, Inc. is not a law firm and does not itself provide legal advice or legal representation unless expressly stated otherwise in a separate written engagement, (c) any search, knockout review, or other automated output provided through the Site may identify potentially relevant issues but may omit relevant facts, records, references, or legal considerations and is not a substitute for the independent professional judgment of a licensed attorney, (d) if your matter is accepted for attorney review or attorney handoff, a participating law firm or licensed attorney will independently review the information provided before any application is filed or legal advice is rendered, (e) the reviewing law firm or attorney may decline to proceed, may require corrections or additional information, and may recommend changes to any search conclusions, knockout review summaries, or draft application materials, and (f) no filing will be made unless all required information, approvals, signatures, and fees are received.
Fees and Payment Processing. Fees charged through the Site may include amounts for access to search services, knockout review support services, and application assistance services provided by Uppercase, Inc., amounts charged by a participating reviewing law firm or licensed attorney for legal review, legal advice, and filing-related services, government filing fees, and payment processing charges, as applicable. You authorize Uppercase, Inc. or its third-party payment processor to collect such amounts from you, including amounts collected by Uppercase, Inc. on behalf of a participating reviewing law firm or licensed attorney where applicable. Unless expressly stated otherwise, fees are due in advance and are nonrefundable once the applicable services have been performed or third-party charges have been incurred. Collection of funds by Uppercase, Inc. on behalf of a reviewing law firm or attorney is solely as a payment processing and administrative convenience and does not by itself create an attorney-client relationship with Uppercase, Inc. or obligate any law firm or attorney to accept your matter.
Links to Other Sites. The Site may provide links to other websites. This Site's Terms of Use or Privacy Policy may not apply to those other websites, which may have their own terms and policies. You should review the terms of use and privacy policies of any other websites that you visit.
Compliance with Laws. You agree to comply with all applicable laws regarding your use of the Site. You further agree that information provided by you is truthful and accurate to the best of your knowledge, that you have the right to provide any information or materials you submit through the Site for search, knockout review, attorney review, or filing purposes, and that you will not use the Site to submit false, misleading, infringing, unlawful, or fraudulent information or to pursue any application or filing prohibited by applicable law, regulation, or governmental order.
Indemnification. You agree to indemnify, defend and hold Uppercase, Inc. and our partners, employees, affiliates, service providers, participating law firms, and attorneys harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of this Agreement, your use of the Site, your misuse of any informational, search, knockout review, or automated content made available through the Site, or any information or materials that you submit that are inaccurate, incomplete, misleading, unlawful, or infringe the rights of any third party.
Disclaimer. THE INFORMATION ON THIS SITE IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. YOU AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK. UPPERCASE, INC. DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE AND/OR CONTENT IS TO CEASE ALL OF YOUR SITE USE.
You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.
Copyrights and Copyright Agent. If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent:
An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
A description of the copyrighted work that you claim has been infringed;
A description of where the material that you claim is infringing is located on the Site;
Your address, telephone number, and e-mail address;
A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Applicable Law. You agree that the laws of the state of Delaware without regard to conflicts of laws provisions will govern this Agreement and any dispute that may arise between you and Uppercase, Inc. or its affiliates. Venue shall be the state and federal courts located in Delaware.
Severability. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
Relationship of the Parties. Each party is, and shall remain, an independent contractor and nothing contained in this Agreement shall be construed to make either party a partner, joint venturer, employee or agent of the other party, and neither party shall hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party. Your use of the Site, completion of an online interview, receipt of any search results or knockout review summary, payment of any fees, or any attorney handoff or referral through the Site does not by itself create an attorney-client relationship between you and Uppercase, Inc. Any attorney-client relationship will arise, if at all, solely between you and the participating law firm or licensed attorney under the terms of a separate written engagement.
